Micro, Small & Medium Enterprises (MSME) – How to Recover Delayed Payments
For small businesses, buyers delaying payment for months after supply of goods or services is a major problem. The MSMED Act, 2006 provides special protection for this.
Who Is an MSME?
Enterprises are classified as Micro, Small or Medium based on investment and annual turnover. These limits were revised upwards in 2025. Udyam Registration can be done free of cost at udyamregistration.gov.in.
Important: Register under Udyam before making supplies. Courts have held that the benefits of the Act may not be available for supplies made before registration.
Protection Under the Act
1. 45-Day Rule (Section 15): The buyer must pay within the agreed period, and in no case later than 45 days.
2. Compound Interest (Section 16): On delay, the buyer must pay interest at three times the bank rate notified by RBI, compounded monthly.
3. Income Tax Impact: A buyer who delays payment to a micro or small enterprise cannot claim that expense as a deduction in that year. This encourages buyers to pay on time.
How to Recover – MSEFC
1. File a reference with the Micro and Small Enterprises Facilitation Council (MSEFC) under Section 18. It can also be filed online through the MSME Samadhaan portal (samadhaan.msme.gov.in).
2. First, conciliation is attempted.
3. If conciliation fails, the Council itself acts as the arbitral tribunal and passes an Award.
4. The Award can be enforced like a court decree.
5. Limitation: The claim should generally be filed within 3 years from the date the payment became due.
If You Receive an MSEFC Notice (For Buyers)
- Do not ignore the notice. The Council may proceed and pass an award against you even in your absence.
- Submit your defence with documents – poor quality supply, different contract terms, payment already made, etc.
- Check whether the supplier was registered as an MSME at the time of supply.
- To challenge the award in court, you must first deposit 75% of the award amount (Section 19). So, replying properly at the initial stage itself is very important.
What Suppliers Should Do
- Mention your Udyam Registration Number on invoices.
- Clearly state the payment period (within 45 days) in invoices and contracts.
- Keep all proof of supply – delivery challan, LR, GST e-way bill, acknowledgements.
- Send payment reminders by email / letter and keep records.
