Promissory Note
Promissory Note (Pronote) – What You Should Know
Most people take a pronote while giving a hand loan. But small mistakes can make the document useless in court.
What Is a Promissory Note?
Under Section 4 of the Negotiable Instruments Act, 1881, it is an unconditional written promise, signed by the borrower, to pay a certain sum of money to a specified person.
A Valid Pronote Should Contain
- Full name, father's name and address of both borrower and lender.
- Loan amount – in figures and in words.
- Rate of interest (if any).
- Date and place.
- Proper stamp – with the borrower's signature across it.
- Signatures and addresses of two witnesses (not legally mandatory, but very helpful in a case)
Stamp Is Crucial
A pronote that is unstamped or insufficiently stamped will not be accepted as evidence by the court. This defect cannot be cured later even by paying a penalty.
Limitation – 3 Years
For a pronote payable on demand, a suit must be filed within 3 years from the date of the note. Otherwise, the right to recover the money is lost.
To extend limitation:
- If the borrower makes a part payment, get it endorsed on the back of the pronote in his handwriting and signature.
- Or obtain a signed letter from him acknowledging the debt.
If either happens within the 3 years, a fresh 3-year period starts from that date.
Cheque Case vs Pronote Case
A bounced cheque can lead to a criminal case (Section 138). A pronote can only be enforced through a civil money recovery suit.
Excessive Interest – Caution
In Tamil Nadu, charging exorbitant interest is an offence under the Tamil Nadu Prohibition of Charging Exorbitant Interest Act, 2003.
For Borrowers
- Never sign a blank pronote without the amount filled in.
- Get a receipt for every payment made.
- Take back the original pronote once the loan is fully repaid.
